Chapter 1 General Provisions
- Article 1
- The association is named the Taiwan Society for Wound Care (abbreviated as TSWC in English). (Hereinafter referred to as "the Association").
- Article 2
- The purpose of the establishment of the Association is to integrate domestic and foreign medical professionals, including physicians, nurses, dietitians, rehabilitation therapists, diabetes educators, social workers, researchers, and other related healthcare personnel engaged in wound care, to serve patients. The Association aims to properly utilize medical resources, promote the development of wound care research, enhance the efficacy of wound care in Taiwan, and to ensure that patients receive comprehensive and good quality care.
- Article 3
- The address of the Association is located in the place where the current authority is located. When establishing or changing the address, approval from the current authority shall be obtained.
- Article 4
- The authority of the Association is the Ministry of the Interior, and the competent authority for the purpose and business of the Association is primarily the Ministry of Health and Welfare. The purpose and business of the Association shall be guided and supervised by the respective competent authorities.
Chapter 2: Mission
- Article 5
- The missions of this association are as follows:
1. To integrate personnel and resources related to wound care treatment in order to enhance medical efficiency.
2. To promote research and development in wound care.
3. To establish domestic and international guidelines on wound care for reference by academic organizations and members.
4. To regularly hold academic lectures and discussions.
5. To promote international academic exchanges and activities.
6. To regularly publish journals and related publications.
Chapter 3: Members
- Article 6
- There are four types of members in this association:
1.Basic Members
2.Sponsor Members
3.Honorary Members
4.Non-Republic of China Medical Professional Members or Groups
Their qualifications for membership are as follows:
1.Basic Members: Any individual who is a citizen of the Republic of China and is involved in wound care, including physicians, nurses, dietitians, rehabilitation therapists, diabetes educators, social workers, and other related healthcare personnel, may apply for membership in this association upon approval by the Board of Directors.
2.Sponsor Members: Any individual or group that provides actual sponsorship to this association may be approved as a sponsor member by the Board of Directors. (Sponsor members do not have the right to vote, participate in elections, be elected, and be recalled. Sponsor members have the same rights and obligations as basic members but are exempt from paying annual dues.)
3.Honorary Members: Any individual or group that has made special contributions to the academic field of wound care or to this association may be appointed as an honorary member by the Board of Directors. (Honorary members do not have the right to vote, participate in elections, be elected, and be recalled. Honorary members have the same rights and obligations as basic members but are exempt from paying annual dues.)
4.Non-Republic of China Medical Professional Members: Any individual over the age of twenty who agrees with the objectives of this association and does not possess qualifications as a medical professional recognized by the Republic of China may fill out a membership application, be approved by the Board of Directors, and become a non-Republic of China medical professional member after paying the membership fee. They do not have the right to vote, participate in elections, be elected, and be recalled, but have the same rights and obligations as basic members. - Article 7
- Members who violate medical ethics, laws, the association's articles, fail to comply with resolutions of the general meeting of members, or are unable to fulfill their membership obligations for three years may be warned or suspended by the Board of Directors and be listed as inactive members. Those who seriously harm the association may be expelled by the resolution of the general meeting of members.
- Article 8
- Members of this association have the following rights:
1.Voting rights, the right to vote, the right to be elected, and the right to recall.
2.The right to participate in the general meeting of members and other gatherings.
3.The right to participate in various projects or activities organized by the association.
4.The right to preferential subscription to various publications of the association.
Sponsor members, honorary members, and inactive members do not have the rights listed in article 8.1. - Article 9
- Members of this association shall fulfill the following obligations:
1.Abide by the association's articles and execute the resolutions of the association.
2.Undertake tasks assigned by the association.
3.Pay membership fees.
Chapter 4: Organization and Meetings
- Article 10
- The highest authority of this association is the general meeting of members. When the number of members (representatives) exceeds three hundred, member representatives may be elected proportionally by district, and then a general meeting of member representatives shall be convened to exercise the powers of the general meeting of members. The term of office of member representatives is two years. The quotas and election methods are formulated by the Board of Directors and submitted to the competent authority for approval.
- Article 11
- The association has eleven directors and three supervisors. Elected by the members (member representatives), separate boards of directors and supervisors are established. When electing directors and supervisors, three alternate directors and one alternate supervisor may be elected based on the voting results, and vacancies among directors and supervisors shall be filled sequentially. Directors and supervisors may be elected through postal voting. However, postal voting cannot be conducted continuously. The method of postal voting shall be adopted by the Board of Directors and submitted to the competent authority for approval.
- Article 12
- The Board of Directors shall appoint three executive directors from among the directors, and one director shall be elected as the chairperson of the board of directors from among the executive directors. The chairperson of the board shall oversee the affairs of the association internally, represent the association externally, and serve as the chairperson of the general meeting of members and the board of directors. In the event that the chairperson of the board is unable to perform his duties, one of the executive directors shall be designated to act as the deputy. If no designation is made or cannot be made, one of the executive directors shall be nominated by mutual agreement to act as the deputy. The Board of Supervisors shall appoint one executive supervisor from among the supervisors.
- Article 13
- In the absence of the chairperosn of the board, one of the executive directors may be designated by the Board of Directors to act as a substitute.
- Article 14
- The terms of office of the directors and supervisors of this association are both two years, and the chairperson of the board may be re-elected only once.
- Article 15
- All directors and supervisors of this association serve voluntarily. The association may appoint one honorary chairperson of the board of directors and several honorary directors and advisors. Their term of office shall be the same as that of the directors and supervisors and shall be voluntary.
- Article 16
- The powers of the Board of Directors are as follows:
1.Reviewing the qualifications of members.
2.Electing or dismissing the chairperson of the board.
3.Deciding on the resignation of directors or the chairperson of the board.
4.Appointing and dismissing staff.
5.Formulating annual work plans, reports, budgets, and final accounts.
6.Other matters to be executed. - Article 17
- The powers of the Board of Supervisors are as follows:
1.Supervising the execution of the work of the Board of Directors.
2.Reviewing the annual final accounts.
3.Electing or dismissing the executive supervisor.
4.Deciding on the resignation of supervisors or executive supervisors.
5.Other matters to be supervised. - Article 18
- Directors and supervisors of this association shall be dismissed immediately if any of the following circumstances occur:
1.Loss of membership qualifications.
2.Resignation due to reasons resolved by the Board of Directors or the Board of Supervisors.
3.Dismissal or removal.
4.The period of suspension exceeds half of the term of office. - Article 19
- The association shall appoint one secretary-general to handle the affairs of the association under the command of the chairperson of the board. Several other staff members can be nominated by the chairperson of the board, approved by the Board of Directors, and report to the competent authority for record. However, the dismissal of the secretary-general shall be reported to the competent authority for approval in advance. Staff members mentioned above shall not be appointed by directors or supervisors. The responsibilities and hierarchical responsibilities of staff members shall be determined by the Board of Directors. The salary or allowance standards for staff employed by the association shall be determined and included in the annual budget by the Board of Directors.
- Article 20
- The association shall hold a general meeting of members once a year, convened by the chairperson of the board and notified fifteen days in advance. When necessary, an extraordinary meeting may be convened by resolution of the Board of Directors, at the request of more than one-fifth of the members, or at the request of the Board of Supervisors.
- Article 21
- The Board of Directors and the Board of Supervisors shall hold meetings once every four months, with prior notification seven days in advance. When necessary, an extraordinary meeting or a joint meeting of the Board of Directors and the Board of Supervisors may be convened. Resolutions of the meetings shall be passed with a majority vote of directors or supervisors present, and resolutions with the consent of the majority of those present shall be implemented. Meetings of the Board of Directors and the Board of Supervisors may be held via video conference, and directors or supervisors participating in the meeting via video conference shall be deemed to be present in person. However, video conferences shall not be used for matters related to elections or dismissals.
- Article 22
- The association may establish various committees, groups, or other internal operational organizations as needed. The organization and simplified regulations shall be formulated by the Board of Directors and implemented after being approved by the competent authority, and changes shall be made in the same manner.
- Article 23
- When members cannot attend the general meeting of members in person, they may authorize other members in writing to act on their behalf.
- Article 24
- Resolutions of the general meeting of members shall be adopted by a majority vote of active members present, and shall be implemented with the consent of the majority of those present, but resolutions on the following matters shall require the consent of two-thirds or more of the attendees:
1.Establishment or amendment of the articles of association.
2.Expulsion of members.
3.Removal of directors or supervisors.
4.Disposal of assets.
5.Dissolution of the organization.
6.Other significant matters related to the rights and obligations of members.
After the association completes its legal registration, amendments to the articles of association shall be made with the consent of two-thirds or more of the attendees or written consent of two-thirds or more of all members. The dissolution of the association may be decided at any time by a resolution of two-thirds or more of all members.
